1. Agreement to Terms

By accessing or using ReferSuite, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the service. ReferSuite is intended for business administrators aged 18 and over, and members aged 16 and over.

2. Description of Service

ReferSuite is a referral management platform that helps businesses create and manage referral campaigns, track leads, and reward members for successful referrals. The service includes campaign creation, lead tracking, notification systems, booking calendars, review management, and analytics. ReferSuite integrates with partner platforms including RewardSuite (loyalty) and StreamifyBox (digital signage).

3. Account Registration

To use ReferSuite as a business administrator, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use

4. Subscription & Payments

• ReferSuite offers multiple subscription tiers billed weekly
• You may cancel your subscription at any time
• Refunds are handled on a case-by-case basis
• Pricing Changes: All prices, including subscription fees and per-conversion charges, are subject to change at any time. We will provide at least 30 days notice before any price increases take effect for existing subscribers. Your continued use of the service after a price change constitutes acceptance of the new pricing.

5. Setup Fee

A one-time, non-refundable setup fee of $99 (AUD) applies to all new accounts. This covers onboarding, configuration, and initial setup of your referral program. This fee may be waived at our discretion.

6. StreamifyBox TV Device Deposit

The StreamifyBox TV Leaderboard feature requires a dedicated mini-computer device to be installed at your venue. The following terms apply:

• Deposit Required: A refundable deposit of $149 (AUD) is required for each StreamifyBox device provided to your business
• Device Ownership: The StreamifyBox device remains the property of ReferSuite for the duration of your subscription
• Deposit Refund: The full $149 deposit will be refunded upon cancellation of your subscription, provided the device is returned in reasonable working condition
• Device Return: Upon cancellation of your subscription, you must return the StreamifyBox device within 14 days. Failure to return the device within this period will result in forfeiture of the deposit
• Damage or Loss: If the device is returned damaged beyond normal wear and tear, or is lost or stolen, the deposit may be partially or fully withheld to cover replacement costs

7. Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Send spam or unsolicited communications
• Upload malicious code or attempt to breach security
• Impersonate others or misrepresent your affiliation
• Interfere with other users' enjoyment of the service
• Scrape or collect data without permission
• Attempt to reverse engineer, decompile or probe the Service

8. Intellectual Property

ReferSuite, its code, design, brand, logos, artwork, copy, feature workflows, algorithms and all related materials are owned by us and protected under Australian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service while your subscription is active. Nothing in these Terms transfers ownership of any of our intellectual property to you, and no rights are granted by implication, estoppel, or otherwise.

9. Your Content

You retain ownership of all data and content you upload to ReferSuite. By using our service, you grant us a limited licence to store, process, and display your content solely for the purpose of providing the service to you.

10. Data Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. Your business data remains private and accessible only to you.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects access. We will endeavour to provide advance notice of planned maintenance.

12. For Leads & Prospects

When you submit your information through a referral link, you agree to the following:

• Communications: You consent to receive SMS messages, emails, and other communications from both the referring business and ReferSuite regarding your enquiry, offers, and opportunities
• Follow-up: You may receive follow-up messages including satisfaction surveys and invitations to participate in the ReferSuite referral program
• Data Sharing: Your contact information will be shared with the business you enquired about for the purpose of processing your enquiry
• Opt-out: You may opt out of communications at any time by clicking the unsubscribe link or replying STOP to SMS messages

13. For Referrers

When you participate in the ReferSuite referral program, you agree to the following:

• Eligibility: You must be at least 16 years of age to participate as a referrer
• Honest Referrals: You agree to only refer genuine prospects and not engage in fraudulent activity
• Rewards: Rewards are subject to successful conversion of your referrals as determined by the business. Reward types and amounts are set by each business
• Reward Delivery: Rewards may be delivered as gift cards, cash payments, service credits, or other forms as specified by the business
• Tax Responsibility: You are responsible for any tax obligations arising from rewards received
• Program Changes: Businesses may modify their referral programs at any time

14. Limitation of Liability

Nothing in these Terms excludes any consumer guarantees or rights you have under the Australian Consumer Law that cannot legally be excluded.

Subject to the above, ReferSuite is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service.

To the maximum extent permitted by law, our total liability to you for any claims arising from these Terms or your use of the Service is limited to the subscription fees you paid us in the 3 months preceding the claim.

15. Termination

We may terminate or suspend your account at any time for violation of these terms. You may also delete your account at any time through the settings page. Upon termination, your data will be deleted in accordance with our data retention policies.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the platform. Continued use of the service after changes constitutes acceptance of the new terms.

17. Governing Law

These Terms are governed by the laws of South Australia, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of South Australia and the Commonwealth of Australia.
